Introduction and Agreement

Welcome to Lumex Shift. These Terms of Service ("Terms") establish the legal agreement between you ("User," "you," or "your") and Lumex Shift ("Company," "we," "us," or "our") regarding your access to and use of our website, services, products, and content. By accessing or using any part of Lumex Shift's offerings, you agree to be bound by these Terms. If you do not agree to these Terms, you are not authorized to use our services.

We reserve the right to modify these Terms at any time. Changes become effective upon posting to our website. Your continued use of our services following notification of changes constitutes your acceptance of the updated Terms.

1. Eligibility and Account Registration

To use our services, you must be at least 18 years of age (or the age of majority in your jurisdiction). By registering or using our services, you represent and warrant that you meet these eligibility requirements and have the legal authority to enter into these Terms.

You are responsible for maintaining the confidentiality of your account credentials and are liable for all activities conducted through your account. You agree to provide accurate, current, and complete information when registering and to update this information as necessary. You must notify us immediately of any unauthorized access to your account.

2. Use of Services

You may use Lumex Shift's services solely for lawful purposes and in accordance with these Terms. You agree not to use our services:

3. Intellectual Property Rights

All content on Lumex Shift's website and services, including text, graphics, logos, images, videos, audio, course materials, and software, is the property of Lumex Shift or our content providers and is protected by copyright and other intellectual property laws. These materials are provided solely for your personal, non-commercial use.

You may not reproduce, distribute, modify, transmit, or create derivative works from our content without our prior written permission. Unauthorized use of our intellectual property is prohibited and may result in legal action.

By submitting content to Lumex Shift (such as reviews, comments, or testimonials), you grant us a non-exclusive, royalty-free license to use, display, and distribute that content.

4. Payment and Pricing

Our pricing is subject to change with notice. We accept various payment methods as indicated on our website. You agree to pay all fees and charges that you incur, including applicable taxes.

Payment processing is handled by secure third-party payment processors. You authorize us to charge your payment method for services you purchase. In the event of payment failure, we may suspend your access to services until payment is received.

All prices are in Japanese Yen unless otherwise specified. Currency conversion is handled by your payment processor. We are not responsible for additional fees or charges imposed by your financial institution.

5. Refunds and Cancellations

Workshops and Group Events: Cancellations must be made at least 14 days before the scheduled date for a full refund. Cancellations within 14 days are non-refundable but may be rescheduled for another date at no additional charge.

Mentorship and Ongoing Services: Subscriptions can be cancelled at any time. Your cancellation becomes effective at the end of your current billing period. No refunds are issued for partial months of service already paid.

Retreat Programs: Cancellations made 60 or more days before the retreat receive a full refund. Cancellations made 30-59 days prior are refunded 50% of the fee. Cancellations within 30 days are non-refundable.

Online Courses: Refunds are available within 7 days of purchase if you have not accessed more than 25% of the course material. After 7 days or if course access exceeds 25%, no refunds are available.

Exceptions: Refunds are not available if cancellation is due to violation of these Terms or course attendance requirements.

6. Service Limitations and Disclaimers

Lumex Shift provides educational content and wellness services. Our services are designed to support your practice and personal development, but are not substitutes for professional medical, psychiatric, or psychological treatment. While our instructors are knowledgeable practitioners, they are not licensed therapists or medical professionals.

We do not guarantee specific results from our services. Individual outcomes vary based on personal commitment, practice, life circumstances, and other factors beyond our control. We expressly disclaim responsibility for any outcomes you may or may not achieve.

The information provided in our courses, workshops, and materials is for educational purposes only. We do not provide medical advice, and you should consult appropriate healthcare professionals regarding any health concerns.

We make no warranty that our website or services will be uninterrupted, error-free, or free of viruses or harmful components. We are not responsible for technical difficulties, outages, or data loss.

7. Limitation of Liability

To the maximum extent permitted by law, Lumex Shift, its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including loss of profits, revenue, data, or business opportunity, arising from or related to these Terms or your use of our services.

Our total liability under these Terms shall not exceed the amount you paid for the service giving rise to the claim. Some jurisdictions do not allow limitations of liability, so this limitation may not apply to you.

8. Indemnification

You agree to indemnify and hold harmless Lumex Shift and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney fees) arising from your violation of these Terms, your use of our services in violation of law, or your violation of any third-party rights.

9. Health and Safety Responsibility

While participating in Lumex Shift programs, you assume all risk of personal injury, death, or property damage. Certain activities, including meditation, yoga, and physical practices, may not be suitable for individuals with specific health conditions.

You are solely responsible for assessing your physical and mental health prior to participation. If you have any health concerns or medical conditions, consult with your healthcare provider before participating in our services. Inform instructors of any injuries, limitations, or health issues that may affect your participation.

Lumex Shift is not responsible for injuries or health complications that occur during or resulting from participation in our services or practices.

10. Participant Conduct and Termination

We reserve the right to terminate your access to our services if you violate these Terms, engage in harmful behavior, harass other participants, or otherwise violate our community standards. Termination may be immediate and without refund.

We may also suspend or terminate services if we determine, in our sole discretion, that your behavior poses a risk to our community or violates applicable law.

11. Third-Party Content and Links

Our website and services may contain links to third-party websites and services. We are not responsible for the content, accuracy, or practices of these external sites. Your access to and use of third-party services are governed by their terms and privacy policies, not ours.

We do not endorse or recommend any third-party services unless expressly stated. Links are provided for your convenience only.

12. Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of Japan, without regard to conflict of law principles. Any disputes arising from these Terms or your use of our services shall be resolved through informal negotiation, mediation, or binding arbitration as permitted by law.

You agree to submit to the exclusive jurisdiction of the courts located in Tokyo, Japan. You waive any objection based on inconvenient forum or improper venue.

13. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the original intent.

14. Entire Agreement

These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and Lumex Shift regarding your use of our services and supersede any prior understandings or agreements, whether written or oral.
